This agreement (the "Agreement") is entered into by
("Creator"),
and
Margarita Telesa & Michael Prantl / Just Escape Your City ("JEYC").
In consideration of the mutual covenants made herein, the parties agree as follows:
- Parties. The Creator is engaged in the business of writing and creating a City Quest. JEYC is engaged in creating and selling City Quests.
- Relationship. The parties expressly agree and acknowledge that the relationship created by this Agreement is one of Independent Contractor. JEYC is not the employer of the Creator, and Creator is not, and will not be treated as, an employee of JEYC for federal tax purposes, or any other purposes.
- Contract Period. This agreement will begin on the date set forth below and shall continue until terminated as provided by either party. If either party violates a term of this Agreement, then the other party (the "Non-breaching Party") may terminate this Agreement, effective immediately upon delivery of written notice of termination by the Non-breaching Party. Not withstanding the foregoing, either party may terminate this Agreement at any time for any or no reason, effective upon thirty (30) days written notice. If the Creator terminates the Agreement and Cooperation, all rights go to JEYC.
- Services to be provided by Creator. Creator agrees to create, with the layout and template of JEYC, a City Quest for agreed city. The Quest needs to involve every detail, which is important to play the Quest, such as interesting facts, interesting tasks (JEYC provides the list of the tasks, but the Creator can also invent tasks and riddles, which fit on this location), also the right coordinates of each station, photos for hints. The Creator is responsible for the duration of the Quest. So he/she should only use landmark, building or monuments, which are on this location permanently. The Creator is also responsible for any issues shown by the customers. They need to be fixed within 72 hours. Should the Creator not be living close to the city, he/she needs to find a way, to check and fix the problem there.
The copyright of the texts, photos and the Quest will stay in the property of JEYC. After creating the Quest, JEYC will review the content, edit and change it for programming. JEYC also has the right to change tasks, texts and photos within the Quest. The Creator will be informed about every step.
JEYC will also publish on their homepage, next to the Quest, who created this tour. Name, photo, general information and all social media links can also be added up, if the Creator wants to. This is a service for the customers, so they know, who created this Quest.
The Creator has also the right to get free links to his/hers City Quest to provide these to family, friends or for promotion. Of course, these free links cannot be sold to a third party. This would mark an immediate termination of the Agreement.
- Compensation. JEYC agrees to pay the Creator in one of 2 options:
- 1st option: After creating the Quest, the Creator can sell the Quest with all copyrights (texts, tasks and photos) to JEYC for 200€.
- 2nd option: Creator recieves for every sold City Quest (which was created by the Creator) 7€. JEYC is responsible for taxes, marketing and administration of the Quest. If we are working with option 2, the Creator will be paid for the past month every 5th of the following month, to the provided account. Should the amount be less than 20€, we will wait a month more to transfer the money.
The first 10 Creators, which joined the JEYC-Team will have this arrangement as long as they want to be part of the JEYC creator community and Quests are sold. JEYC is not promising any minimum or maximum amount of sold Quests per year. The Creator has access to the Creator portal and has always an overview about each sold Quest of him/her.
Under no circumstances will the Creator be paid on an hourly, daily or other basis that is a function of time.
- Assignment and Ownership of Intellectual Property. Creator hereby understands and agrees that all texts, photos, tasks and Quests submitted to, and published by, JEYC under this Agreement shall be considered works for hire, and further, to the extend any intellectual property right does not pass pursuant to a work for hire. The Creator is also not allowed to sell the content to a similar company like JEYC or starting their own quest company.
